End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User,” “You,” or “Licensee”) and OPENLOGIC BUSINESS SOLUTIONS PVT LTD (“Openlogic,” “We,” “Us,” or “Licensor”) governing your use of our software products, applications, modules, updates, documentation, and related services (collectively, the “Software”).

By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Openlogic grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business purposes, subject to the terms of this Agreement and your purchased license plan.

This license does not transfer ownership of the Software.

2. License Types

Depending on your purchase or agreement, the Software may be licensed as:

  • Single-User License

  • Multi-User License

  • Subscription-Based License

  • Per-Device / Per-Installation License

  • Industry-Specific or Custom License

Usage beyond the licensed scope is strictly prohibited.

3. License Restrictions

You agree not to:

  • Copy, modify, distribute, sell, sublicense, lease, or rent the Software

  • Reverse engineer, decompile, disassemble, or attempt to extract source code

  • Bypass license validation, security mechanisms, or usage limits

  • Use the Software for unlawful or unauthorized purposes

  • Remove or alter copyright, trademark, or proprietary notices

Any unauthorized use may result in immediate termination of the license.

4. Ownership & Intellectual Property

The Software, including all code, structure, designs, trademarks, logos, and documentation, is the exclusive intellectual property of Openlogic.

All rights not expressly granted under this Agreement are reserved by Openlogic.

5. User Data & Responsibility

  • You retain ownership of all business data entered into the Software

  • You are solely responsible for the accuracy, legality, and integrity of your data

  • You are responsible for maintaining backups, especially for offline or desktop installations

Openlogic is not liable for data loss caused by user actions, hardware failure, third-party interference, or improper usage.

6. Updates & Modifications

Openlogic may provide updates, upgrades, patches, or enhancements to improve functionality or security.
Such updates may be:

  • Automatic or manual

  • Free or paid, depending on your license

We reserve the right to modify or discontinue features without prior notice.

7. Support & Maintenance

Support availability depends on your license plan or service agreement.
Basic, priority, or paid support may apply based on product type and contract terms.

8. Fees, Renewals & Non-Payment

  • License fees and renewal terms are defined at the time of purchase

  • Failure to renew or pay applicable fees may result in limited functionality or suspension

  • All payments are non-refundable, unless explicitly stated otherwise in writing

9. Termination

This Agreement remains in effect until terminated.

Openlogic may terminate this Agreement immediately if you:

  • Violate any term of this EULA

  • Misuse or illegally distribute the Software

  • Attempt to bypass licensing or security systems

Upon termination, you must immediately stop using and uninstall the Software.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Software is provided “AS IS”

  • Openlogic shall not be liable for indirect, incidental, consequential, or special damages

  • We are not responsible for loss of profits, business interruption, or data loss

  • Our total liability shall not exceed the amount paid for the Software license

11. Disclaimer of Warranties

Openlogic disclaims all warranties, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

We do not guarantee uninterrupted or error-free operation.

12. Compliance with Laws

You agree to comply with all applicable local, national, and international laws while using the Software, including data protection and taxation laws relevant to your business.

13. Transfer Restrictions

You may not transfer or assign this license to another party without prior written consent from Openlogic.

14. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts in India.

15. Entire Agreement

This EULA constitutes the entire agreement between you and Openlogic regarding the Software and supersedes all prior agreements or understandings.
